SITE-RESEARCH LICENCE CONTRACT

between:

Humboldt-Unversität zu Berlin, Unter den Linden 6, 10099 Berlin,

for its Faculty " Mathematisch-Naturwissenschaftliche Fakultät II" for its " Institut für Informatik" under the leadership of Prof. Dr. Fischer
hereinafter referred to as "Humboldt-Universität"

 AND:
_______________________________________________

 hereinafter referred to as " Licensee".

 WHEREAS

 Humboldt-Universität has developed " SDL Integrated Tool Environment" - Distribution Software, hereinafter referred to as SITE, and wants to get knowledge about the function or disfunction of this software.

NOW THEREFORE IT IS AGREED AS FOLLOWS:
 
 

1. Licence

Humboldt-Universität herewith grants Licensee a non-exclusive, paid-up licence to use SITE.
 
 

2. Royality - Service in Return

The licence is granted royality-free.
Licensee reports function of SITE, especially significant problems including bugs, suggested corrections and improvements to:

3. Warranties

Licensee acknowledges that SITE is an experimental program. Humboldt-Universität does not make any guaranteed promises that SITE is correct and without any defects, that it performs any function or produce any useful results. Any consequences of using SITE under the terms of this licence shall be entirely the responsibility of the Licensee. No Provision for maintenance or guarantee of consistency between versions of SITE is implied by this licence.
 
 

4. Legal rights

All legal rights to SITE at all time remain with Humboldt-Universität.
 
 

5. Place of use

Licensee shall use SITE at the following location only:

6. Delivery

The obligation of Humboldt-Universität is limited to the availability of SITE and its documentation electronically via anonymous ftp or world wide web, exclusive of any other services.
 
 

7. Assignment of the licence and sublicences

Assignment of the licence, the granting sublicences, the distribution or copying of SITE through Licensee is not permissible. Licensee is not entitled to exploit SITE in any commercial way.
 
 

8. Exclusion of liability

Licensee hereby indemnifies Humboldt-Universität against any loss, cost, demand, claim, fee or expense of any nature or kind which Humboldt-Universität may sustain as a result of entering into this agreement.
 
 

9. Salvatorian clause

Should a provision of this agreement be invalid or become invalid or should this agreement contain an omission, then the legal effect of the other provision shall not thereby be affected. Instead of the invalid provision a valid provision is deemed to have been agreed upon which comes closest to what the parties intended; the same applies in the case of an omission.
 
 

10. Changes to this agreement

Any changes of this agreement shall be made in writing, no collateral agreements to this agreement have been made.
 
 

11. Applicable law and jurisdiction

This agreement shall be interpreted in accordance with the laws of the Federal Republic of Germany. For all controversies resulting from this agreement, jurisdiction of the Civil Court Berlin is agreed upon.
 
 

12. Duration

This contract shall have a duration of 24 month beginning with the date of the signature of Humboldt-Universität.
